XHE provides computer systems design, software development, cloud solutions, IT consulting, cybersecurity, system integration, and related technology services.
Lawful use only. Prohibited: unauthorized access, malware, illegal activity, automated bots without consent.
All materials owned by XHE CONSULTING LLC. Clients receive non-exclusive license to custom deliverables upon full payment.
Both parties maintain confidentiality of proprietary information for 5 years post-termination.
Provide accurate info, timely feedback, necessary access, and payments as agreed.
Invoices due within 30 days. Late payments incur 1.5% monthly interest. Services may be suspended for past-due accounts.
Our total liability is capped at fees paid in the preceding 12 months. Not liable for indirect or consequential damages.
Client indemnifies XHE against claims from Terms violation, law violation, or IP infringement.
Services performed professionally. 90-day warranty on deliverables. Otherwise "as is."
Either party may terminate with 30 days notice. Immediate termination for material breach uncured within 15 days.
Neither liable for delays beyond reasonable control.
Governed by New Jersey law. Disputes resolved via arbitration in Livingston, NJ.
These Terms supersede all prior agreements.
Invalid provisions modified minimally; remainder enforced.
Waiver of any term not waiver of others.
